Terms of Service

OVERVIEW

Welcome to Xeaper (operated by Webly Studio, Inc.). We sell print-on-demand apparel and accessories produced specifically for you upon order (“Products”). Our website, store, content, features, and related services are the “Services.” Xeaper is hosted on Shopify, and production/fulfillment is coordinated through Printify’s global print network.

These Terms of Service (“Terms”) govern your use of the Services. By visiting or purchasing from our store, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

SECTION 1 - ACCESS AND ACCOUNT

You represent that you are the age of majority in your state or province, or you have consent of a parent/guardian for any minor dependents using the Services on devices you own or manage.

When creating an account or completing a purchase, you must provide accurate, current, and complete information and maintain the confidentiality of your credentials. You are responsible for all activities under your account. Accounts are non-transferable.

SECTION 2 - OUR PRODUCTS (PRINT-ON-DEMAND)

All Products are made to order. Minor variations in color, brightness, print placement, or sizing can occur due to the print process and manufacturer tolerances; such variations are not defects. Product photographs are illustrative and may appear differently depending on your device settings.

We may modify, limit, or discontinue Products without notice. We may limit quantities per order or customer at our discretion.

SECTION 3 - ORDERS & PRODUCTION

By placing an order, you make an offer to purchase Products. We may accept or decline any order for any lawful reason (including suspected fraud or policy violations). An order is accepted when payment is processed and we (or our providers) begin production.

Cancellations: Because Products are made to order, orders can be cancelled only before they enter production. If you need to cancel, email support@weblystudio.com within 2 hours of purchase. Once submitted to Printify/production partners, changes or cancellations are not possible.

Purchases are for personal/household use and not for resale or export unless expressly agreed in writing.

SECTION 4 - PRICES, TAXES & BILLING

Prices, promotions, and discounts may change without notice. The price charged is the price in effect at checkout and in your confirmation. Unless stated, prices exclude taxes, shipping, handling, duties, and import fees. You are responsible for any applicable taxes and customs charges.

You agree to provide current, complete billing, payment, and contact information and to promptly update it so we can process transactions and communicate with you.

SECTION 5 - SHIPPING & DELIVERY

Production and shipping timelines shown at checkout are estimates, not guarantees. Title and risk of loss pass to you when the order is transferred to the carrier. We are not liable for delays attributable to carriers, customs, weather, or events beyond our control. If a package is marked “delivered” by the carrier but you cannot locate it, please check with the carrier and your location; theft/misdelivery claims may require a police report or carrier investigation.

International orders may incur customs duties, taxes, and fees, which are your responsibility.

SECTION 6 - RETURNS, REPLACEMENTS & REFUNDS

Because Products are made to order, we accept returns or issue replacements/refunds only in limited cases (e.g., defective, damaged, misprinted, wrong item, or lost in transit) within the timeframes in our Refund Policy. Please review our Refund Policy for full details and instructions. Unauthorized returns will not be accepted.

SECTION 7 - USER CONTENT & CUSTOM DESIGNS

If you submit artwork, text, or other content (“User Content”) for customization, you affirm that you own or have all necessary rights to such content and that it does not infringe any third-party rights, violate law, or include prohibited content. You grant Xeaper and our production partners a non-exclusive, worldwide license to use, reproduce, and display User Content solely to produce and deliver your order. We may refuse or cancel any order containing content we deem unlawful or infringing.

SECTION 8 - INTELLECTUAL PROPERTY

The Services and all content (including trademarks, logos, text, images, graphics, and software) are owned by Webly Studio, Inc. (Xeaper) or our licensors and are protected by intellectual property laws. You may use the Services for personal, non-commercial purposes only. Any unauthorized use is prohibited.

SECTION 9 - OPTIONAL TOOLS & THIRD PARTIES

We may provide access to third-party tools or services (including Shopify, Printify, payment processors, and carriers) “as is” and “as available” without warranties. Your use of third-party tools or websites is at your own risk and subject to their terms and policies. Shopify and Printify are independent third parties and are not responsible for your transactions with Xeaper.

SECTION 10 - PRIVACY

Your personal information is handled per our Privacy Policy. Because our store is hosted on Shopify and fulfilled via Printify partners, Shopify and Printify may process data under their respective policies and data protection terms.

SECTION 11 - FEEDBACK

If you provide reviews, ideas, or suggestions, you grant us a perpetual, worldwide, royalty-free license to use and display such feedback in connection with the Services, consistent with applicable law.

SECTION 12 - ERRORS, INACCURACIES & OMISSIONS

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions (including pricing, availability, or shipping information). We reserve the right to correct, update, or cancel orders where permitted by law.

SECTION 13 - PROHIBITED USES

You may not use the Services for unlawful purposes; to violate intellectual property rights; to harass, defame, or threaten; to transmit malware or spam; to interfere with security or network features; or to attempt to gain unauthorized access to the Services or accounts.

SECTION 14 - TERMINATION

We may suspend or terminate access to the Services at any time without notice for conduct that we believe violates these Terms or is otherwise harmful, illegal, or disruptive. Upon termination, obligations intended to survive (including payment, IP, indemnities, and limitations of liability) will continue.

SECTION 15 - DISCLAIMER OF WARRANTIES

The Services and all Products are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, timely, secure, or error-free operation.

SECTION 16 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Webly Studio, Inc. (Xeaper), its officers, employees, agents, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Services or Products. Our total liability for any claim shall not exceed the amount you paid for the specific Product giving rise to the claim.

SECTION 17 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Webly Studio, Inc. (Xeaper), Shopify, Printify, and their affiliates from any claim, demand, liability, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Services, or your User Content.

SECTION 18 - SEVERABILITY

If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.

SECTION 19 - WAIVER; ENTIRE AGREEMENT

Our failure to enforce any right or provision is not a waiver of such right or provision. These Terms, together with our incorporated policies, constitute the entire agreement between you and us regarding the Services and supersede all prior understandings.

SECTION 20 - ASSIGNMENT

You may not assign these Terms without our prior written consent. We may assign our rights and obligations at any time to an affiliate or in connection with a merger, acquisition, or sale of assets.

SECTION 21 - GOVERNING LAW

These Terms and any related disputes are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. You consent to exclusive jurisdiction and venue in Delaware courts for any permitted court action.

SECTION 22 - HEADINGS

Headings are for convenience only and do not affect interpretation.

SECTION 23 - CHANGES TO TERMS OF SERVICE

We may update these Terms at any time by posting a revised version on the website with a new “Last Updated” date. Your continued use of the Services after changes are posted constitutes acceptance.
